Create an Annual Report

Once the Franchise Tax (Delaware) Data Library has been reviewed and the information recorded in it confirmed as correct, it is necessary to create an Annual Report.

Running a Batch Annual Report for the corporation(s) will create a report highlighting whether each corporation record contains the basic information required for successful submission.

Note

The report can be run for a single corporation or multiple corporations.

To run a Batch Annual Report for your corporation(s):

  • Select the All Searches icon in the Global Banner.
  • Select Wizards and select the following options: More Wizards > Batch Annual Report (State of Delaware).

The Batch Annual Report wizard opens, prompting you to select the relevant Delaware corporation to proceed with.

  • Ensure that only the corporation(s) that you want to generate the Annual Report for:

Contains the basic required information (identified with a check mark against the title).

Is selected.

  • Deselect any corporations that do not require an Annual Report.
  • Select Next.

The Report screen displays.

  • Select the Save Report to Working Documents checkbox.

The Annual Report will be saved to Working Documents once generated.

The Finish screen displays.

  • To view and review the report before it is generated, select the Summary HTML Report.

The Open Document screen displays, providing additional document actions.

  • Select View.

The Summary Report is generated and displays.

At this stage, Annual Reports have been initiated. The next step is to review the information to be submitted and eFile the Annual Report once happy that the information is correct.

To review the information that will be submitted:

  • Navigate to Documents > Working Documents.
  • Select the (US-DE) Annual Report listing and select the Folder icon to view the Annual Report.

An Annual Report Pending event is also generated for each corporation.

Once you've fixed any sections in red/missing and information contained therein is correct, open the associated Pending Event to regenerate the Annual Report.

  • Navigate to: required corporation record > Compliance > Pending Events.
  • Select the Options icon besides the required Annual Report listing and select the Documents option.

The Pending Documents wizard opens.

  • Select the checkbox against the listed Annual Report to select it.
  • Select Next.

The Finish screen displays.

  • To view and review the Annual Report before it is generated, select the (US-DE) Annual Report (2018) title.

The Open Document screen displays, providing additional document actions.

  • Select View.

The Annual Report is generated and displays.

  • Review the information. Once happy that the information is correct, the Annual Report can be eFiled to be submitted to the State of Delaware. Select Finish.

The wizard closes.

The Annual Report is saved against the corporation's record and can be eFiled for submission.

Once the Annual Report is successfully submitted to the State of Delaware and passes their initial validation, the eFiling status will change to Received and Pending. If the Annual Report is successfully processed, a receipt outlining the details submitted and the amount due is issued.

Once the receipt is received, action the related Pending Event (as it has now been completed).

Amended Annual Reports

After an Annual Return has been submitted, if at any point before the next Annual Report is due a corporation experiences a change in details (for example, Directors, company addresses, etc.), an Amended Annual Report must be submitted to the State of Delaware.

To submit an Amended Annual Report:

  • Navigate to: required corporation record > Data Library > Statutory > Franchise Tax (Delaware)
  • Open the required record by selecting the Folder icon against the listing.

The Franchise Tax (Delaware) Data Library record opens.

  • Select Edit.

The Edit screen displays.

  • In the Franchise Tax (Delaware) section, select the Is this an Amended Annual Franchise Tax Report? checkbox.
  • Select the checkbox and select the Save button to save the update.
  • Re-run the Batch Annual Report wizard and initiate the eFiling submission process for the updated corporation.

Note

An Amended Annual Report is not subject to any Franchise Tax.
