Dealing with Changes to your PSCs/RRLEs/ORPs and their Details

Users must ensure that all changes to their PSCs/RRLEs/ORPs are adequately recorded within the application by using the appropriate Wizards. This includes changes to Additional Matters, Specified Conditions, as well as Changes to Particulars.

The following sections explain how to deal with updates to Specified Conditions (including changes which would result in the PSC/RRLE/ORP no longer meeting the qualifying conditions) and particulars. Dealing with mistakes will also be covered in this chapter. However, for information on dealing with changes to Additional Matters (i.e. adding new matters and closing off old ones), Users are advised to refer to Populating your PSC Register.

Note

Your PSC records are not automatically populated following changes in your Shareholders or Corporate Relationships sections. If share transactions should result in changes to your PSC records (and Register), you must manually update them by using the relevant Wizards (see next sections for more details).

Changes to Specified Conditions

Users wanting to update the PSC Register to reflect changes to a PSC's/RRLE's/ORP's Specified Conditions and produce forms PSC04, PSC05 or PSC06 (or the LLP equivalents) must:

  • Open the Company for which they want to produce the form.
  • Go to Ownership > People with Significant Control.
  • Locate the appropriate PSC record, select the Options Menu icon next to it and select to Update PSC/RLE/ORP.
  • Alternatively, select the Open Folder icon to open the record
  • Select Wizards and select to Update PSC/RLE/ORP.
  • Enter the date when the Specified Conditions changed for the entity (i.e. the date of the share allotment, disposal or transfer).
  • Selecting Next will open the Details Confirmed page.
  • Ignore the Have all particulars been confirmed? checkbox (the checkbox has been selected previously and is, therefore, greyed out) and complete the Register Entry Date field with the relevant information.
  • Select Next again, noting that this Wizard and screen can also be used to record a 790ZG exemption.
  • Proceeding through the Wizard enables you to record changes to Nature of Control.
  • And Specified Conditions.
  • Select the new Specified Conditions and deselect the ones which no longer apply, then select Next.
  • Select to Validate event, then update all records immediately for the application to be updated straight away with the change (i.e. if you have already notified Companies House about the change and you do not need to submit the relevant form). Alternatively, to generate the relevant form (PSC04/LLPCS04 for PSCs, PSC05/LLPSC05 for RRLEs and PSC06/LLPSC06 for ORPs) and file it to Companies House, it is advisable that Users select to Validate event, then save as pending, noting that, once the form is accepted by Companies House, the Pending Event would need to be actioned in order for the system to be updated with the change and for the new Specified Conditions to be displayed within your Register.
  • Select Next.
  • Ensure the form is selected should you want the application to generate it and select Next again.
  • Complete the Wizard, then navigate to Working Documents to locate and open your form which should look as follows.

Users can now file this document to Companies House (if needed) to notify them about the change.

Note

Upon selecting to Validate event and update immediately or once the Pending Event is actioned, the PSC's/RRLE's/ORP's record will display the new Specified Conditions, with the previous Specified Conditions closed off and marked as historical.

The PSC Register will also reflect your changes.

Individual/Entity Ceasing to be a PSC/RRLE/ORP

Similar steps must be followed should the change in Specified Conditions result in the Individual/entity no longer qualifying as PSC/RRLE/ORP.

To record the fact that the entity is no longer a PSC/RRLE/ORP, Users must:

  • Open the Company for which the entity acted as PSC/RRLE/ORP.
  • Navigate to Ownership > People with Significant Control.
  • Select the Options Menu icon next to the relevant record and select Update PSC/RLE/ORP.
  • Alternatively, open the relevant PSC record and
  • Select Wizards > Update PSC/RLE/ORP.
  • Enter the date when the person/entity ceased to be a PSC/RRLE/ORP in the Event Date field and select Next.
  • Complete the Register Entry Date field and select Next.
  • Select the option No longer PSC/RLE/ORP and select Next.
  • Choose the appropriate Action option, noting that, if the change is saved as pending (recommended if filing form to Companies House), the Pending Event would need to be actioned in order for the system to be updated with the change.
  • Ensure form PSC07/LLPSC07 is selected should you want the application to generate it and save it in Working Documents.
  • Select Next.
  • Finalise the Wizard, then go to Working Documents to retrieve and open the PSC07/LLPSC07 form.

Users can now file this document to Companies House (if needed) to notify them about the Individual/entity ceasing to be a PSC/RRLE/ORP.

Note

Upon selecting to Validate event and update immediately or once the Pending Event is actioned, the PSC's/RRLE's/ORP's Specified Conditions will be closed off and marked as historical.

And the PSC Register will be populated accordingly.

Furthermore, the PSC record will also be marked as historical, thus disappearing from the People with Significant Control Page.

  • Select the Historical checkbox to bring it back on the screen.

Changes to Particulars

As stated previously, all changes to your PSCs'/RRLEs' or ORPs' details must be adequately captured within the Diligent Entities application in order for them to be pulled through onto the relevant forms and registers.

For changes to details of Individual PSCs, Users must:

  • Open the relevant Individual record.
  • Navigate to Individual Details > Wizards.
  • Use the Change Name, Change Address and/or Change Particulars Wizard, as applicable.

All three Wizards will generate a PSC04/LLPSC04 form for all the Companies where the Individual is acting as a PSC.

For example, should Users need to record a change of name for the PSC, from the relevant Individual's Details page, they must:

  • Select Wizards > Change Name Wizard.
  • Enter the new name for the Individual, as well as the date when the change of name has taken effect, then select Next.
  • Enter the Register Entry Date for the change.
  • Select to Validate event, then update all records immediately for the application to be updated straight away with the change (i.e. if you have already notified Companies House about the new name and you do not need to submit the relevant form). Alternatively, to generate form PSC04/LLPSC04 and file it to Companies House, it is advisable that Users select to Validate event, then save as pending, noting that, once the form is accepted by Companies House, the Pending Event would need to be actioned in order for the system to be updated with the change.
  • Select Next.
  • Ensure the PSC04/LLPSC04 is selected should you want the form to be generated by the application and select Next again.
  • Select Finish to complete the Wizard and generate the form. Then navigate to Working Documents to locate and open your form which should look as follows.

Notice that the new name appears in Section 4 of the PSC04 form. Users can now file this document to Companies House (if needed) to notify them about the change.

Note

Upon selecting to Validate event and update immediately or once the Pending Event is actioned, the new name will be displayed within the application, as well as within the PSC Register.

For changes to RRLEs' or ORPs' details, where the entity was added as a Company within Diligent Entities:

  • Open the relevant Company record.
  • Navigate to Company Details > Wizards.
  • Use the appropriate Wizard, depending on the type of change that you want to record. For example, name changes must be recorded via the Change Company Name Wizard, address changes require you to use the Change Company Address Wizard, whereas, for changes to country, the Change Company Country Wizard must be used.

Note

Using these Wizards to bring changes to a RRLE's details will allow Users to generate form PSC05/LLPSC05 for all of the Companies where the entity is acting as a RRLE. If dealing with an entity acting as an ORP for other Companies within the application, form PSC06/LLPSC06 will be produced when using the above Wizards.

For Governing Law, Place of Registration, Company Number and Legal Form/ORP type changes, use the Change Other Details Wizard, noting that Governing Law can also be amended by altering the Country of Incorporation/residence (via the Change Company Country Wizard for Companies or the Change Other Details Wizard for other entities).

  • On the Change Other Details page, enter the new details, ensuring that the Date of Effect is also populated to successfully record changes.

Note

There must always be an existing value recorded for the above fields. No changes should therefore be made using the Wizards if changing from a blank or empty value (for example, previous value Place of Registration = " " to Place of Registration = "Companies House"), as the application will prevent blank or empty values from being sent to Companies House electronically. Users should edit the Company, LLP or Other Entity to record the initial values via Edit and Save, but any subsequent changes must be made by using the Change Other Details Wizard.

Note

If making changes via the Wizard, do not remove/blank out any existing values, only amend the data that needs to be changed. The event stores the old values and the new value as at the Event Date, so the application can determine which field(s) have changed from old value to new value when outputting on the appropriate form.

  • Select Next.
  • Enter the relevant Register Entry Date and select Next.
  • Select the appropriate Action from the following screen, noting that, if the change is saved as pending (recommended if filing form to Companies House), the Pending Event would need to be actioned in order for the system to be updated with the change.
  • Select Next.
  • Ensure form PSC05/LLPSC05 is selected should you want the form to be produced and saved in Working Documents.
  • Select Next and finalise the Wizard.
  • Then navigate to Working Documents to locate and open your form which should look as follows.

Users can now file this document to Companies House (if needed) to notify them about the change.

Note

Using this Wizard to bring changes to a RRLE's details will allow Users to generate form PSC05/LLPSC05 for all of the Companies where the entity is acting as a RRLE. If dealing with an entity acting as an ORP for other Companies within the application, form PSC06/LLPSC06 will be produced when using the above Wizard.

And printed within the PSC Register.

Where the RRLE or ORP was added as an Other Entity within Diligent Entities, similar Wizards are available and can be used to change the entity details and generate forms PSC05/LLPSC05 (for RRLEs) and PSC06/LLPSC06 (for ORPs).

Editing Existing PSCs/RRLEs/ORPs, Matters and Conditions in order to Rectify Mistakes or Enter Historical Details

The PSC information stored for your Companies/SEs/LLPs can be modified by using the Wizards described in the previous sections, or edited by using the Edit functionality within the application. However, the latter should only be used when correcting mistakes or entering historical information against your entities and not for recording ongoing PSC changes as editing will not produce any forms. To enter current, ongoing PSC information against your Companies/SEs/LLPs and produce PSC forms, the appropriate Wizards must be used instead.

If the wrong PSC/RRLE/ORP was selected for the Company/SE/LLP, Users can remove it by:

  • Navigating to the Ownership > People with Significant Control section within the relevant Company/SE/LLP.
  • Locating and opening the record to which the PSC/RRLE/ORP was attached.
  • Selecting Edit.
  • Use the X icon to remove the PSC/RRLE/ORP and select Save to keep your changes.
  • Then use the Add/Update PSC/RLE/ORP Wizard to add the correct name against the record and generate the relevant form, as explained in Populating your PSC Register.
  • If entering historical information within the system and the form is not needed, the PSC's/RRLE's/ORP's name can be added via the Wand.

Additional Matters can also be edited by:

  • Going to the Ownership > People with Significant Control section within the relevant Company/SE/LLP.
  • Locating and opening the relevant PSC record .
  • Selecting Edit.
  • Navigating to the Statement of Additional Matters.
  • Finding the corresponding matter and.
  • Selecting the Open Folder next to it (or the Summary line) to open it.
  • Make your changes and select Finish to complete the Wizard.
  • Use the X icon to remove an additional matter (i.e. if added by mistake).
  • And the Jigsaw icon to add another matter, though this method will not produce any forms and thus must only be used when entering historical information and a form is not needed. Use the Additional Matters (Statements) Wizard should you need to notify Companies House about the new/correct matter and generate a form.
  • Follow the same steps to remove or add further Specified Conditions.
  • Or to bring changes to a Section 790ZG Exemption.

To delete a PSC record, together with all of the Additional Matters, Specified Conditions and documents attached to it, Users must:

  • Go to Ownership > People with Significant Control within the relevant Company/SE/LLP.
  • Open the record.
  • Select Wizards and select to Delete.

Furthermore, multiple PSC Records can be deleted in one step by:

  • Selecting Wizards > Batch Delete from the People with Significant Control page.

Note

Users should only remove a record if it was entered by mistake. Do not delete the PSC record if, for example, someone ceases to be a PSC, or if a potential PSC has advised that they are not a PSC. Instead, the relevant Wizard must be used to record this information in the system and generate the relevant form(s).
