Processing option exercises

You can create an exercise transaction for options in Diligent Equity.

To exercise options in connection with terminations go to Process terminations and related transactions.

  1. Go to the Securities section in the navigation sidebar and select Options.

  2. Select the name of the optionee in the main screen. Alternatively, select the more options icon beside their name and select Edit.

    The Grant profile of the optionee opens.

  3. Select the Exercise tab on the screen.

  4. Complete the following steps in the Exercise tab.

    1 Select Add an exercise transaction.

    Enter the date of exercise in the Date field.

    You can select the calendar icon or manually input the date.
    3 The serial number is automatically generated by Diligent Equity.
    4 Enter the number of shares to be exercised in the Exercised field.

    Check the Notice signed checkbox when the exercise notice has been signed, and enter the date of signature.

    Note

    You will not be able to create the stock certificate until the Notice signed box is checked, and a payment was received. The exercise will reflect as Pending on the Options Summary under Settings.

    Check the Payment received box if payment for the shares has been received.

    When payment is received, additional entry fields will be available for entering payment information.

    Select Create certificate to generate the stock certificate.

    • Diligent Equity enters a default certificate number that is one greater than the last number assigned.

    • Go to the Company section in the navigation sidebar and select Certificates to complete the details. For further information go to Create share certificates with eSignatures.

  5. Select Close to save the changes made to this grant.

    The shareholder will now appear on the cap table.
