UK Economic Crime and Corporate Transparency Act (ECCTA) changes in Entities

Following the Companies House announcement of a new set of changes to the Economic Crime and Corporate Transparency Act (ECCTA), Entities is releasing a set of upgrades.

Changes in Entities are being rolled out in phases, based on the Companies House announced schedule.

• Storing document filer details In the new UK Delivery tab in My Preferences, you can record the Identity Verification code or the Authorised Corporate Service Provider (ACSP) code.

• Storing Relevant Officer (RO) details for a Registered Legal Entity You can record Relevant Officer (RO) information for a Registered Legal Entity in the new UK Relevant Officer of a Registered Legal Entity (RLE) data library.

• Updated report identifying individuals without IDV codes You can now view more detailed information in the report to identify individuals without IDV codes.

• Updates to recording IDV codesThe wizard for recording IDV codes now only accepts letters, digits, and hyphens. The IDV code must be up to 13 characters long, including two hyphens.

E-filing changes

• UK The CS01 paper form, when resolved, opens for public Traded Companies that have a share class with no shareholders if there were disposals during the relevant period.

• Ireland The Annual Return B1 form’s status updates with information from Companies Registration Office CORE system when you resubmit it on CORE. You can now change the status of a returned form to Sent and get a status update manually.

• Delavare, US You can now view more detailed information in the report to identify individuals without IDV codes.

Login email address in User Details

You can now enter your login email address in the User Details tab in My Preferences. By default, the Login email field is populated with your contact email address.

Alerts updates for administrators

You can now create alerts for multiple users at once.

When you create data library reminder alerts, you can configure them to only notify the user in the Assigned To setting.

UK forms: You can now produce a document from the Stock Transfer form for non-GBP share classes using Microsoft Print to PDF.

If there is a single share class available for an entity, the Share Class section shows it as a default when allotting, transferring, or performing a share buyback.

The Insider Manager Inbox Processor now checks for HTML markup appearing immediately after the Insider Manager ID (IMID) and ignores it so that the messages can be processed.

Group visualization: Extended color palette for chart formatting

We added a new option for selecting border, fill and text colors when formatting group structure charts.

You can now specify chart colors in the following ways:

• Select a color from the existing palette

• Select a color from a precise color picker palette

• Specify a HEX or a RGB value

To switch between the previous palette and the new color picker, use icons in the top-left corner of the Fill, Border, and Text color settings windows.

We fixed an issue with displaying long conditional formatting rule names in the legend section of the exported charts.

Group visualization: Chart export improvements

The export experience in Group Visualization now features more intuitive navigation and detailed control.

When you export Group Visualization charts, the Export window now contains two collapsible sections:

• Charts – In this section, you can select charts to include in the exported file.

• Export options – In this section, you can customize the exported file. This section was previously Extra options.

You can display shorter index entries on the cover page of the exported file when your export contains only sub-charts. To show only sub-chart names in their respective index entries, select the Omit main chart name from sub-chart index entries option.

When exporting charts for viewing or printing, you can now select and deselect all available sub-charts using the All charts option in the Charts section.

We fixed an issue with incorrect interest percentage being shown in sub-charts for entities with multiple owners.

Group Visualization now displays the date of incorporation for the top entity in a chart.

UK Economic Crime and Corporate Transparency Act (ECCTA) changes in Entities

Following the Companies House announcement of a new set of changes to the Economic Crime and Corporate Transparency Act (ECCTA), Entities is releasing a set of upgrades.

Changes in Entities are being rolled out in phases, based on the Companies House announced schedule.

You can now record and store Individuals Identity Verification (IDV) codes. In addition, Administrators can run reports to identify individuals missing the required codes.

After the upgrade, by default, users don’t have access to the new UK Identity Verification field on the Individuals page. Administrators can selectively configure user access to related features with user roles.

Administrators with access to System Reports can run a report to check if all individuals are assigned IDV codes.

Data Library fixes

• When you try to delete multiple data library documents from the Document Store screen, Entities shows the following error message: “Warning: The following documents are still linked to Data Library and must be deleted from the Data Library.”

  To delete data library records, go to the Data Library tab.

• The Date To system-defined field no longer appears in data library if it’s configured not to appear.

For Hong Kong companies, Hong Kong Registers now refer to Business Registration Number instead of Company Number.

We fixed an issue with the Single Alternative Inspection Location address field not being updated when changing the address with a wizard.

The Australian territories South Australia (SA) and Northern Territory (NT) are now mapped to correct corresponding region codes when downloading data from the Australian Securities and Investments Commission (ASIC).

We resolved an issue with running the Batch Update Company Ownership UDF document template script.

We fixed an issue with the Open Document paperclip icon not working as expected in the All Documents tab.

Group visualization: Early access to AI Chart assist available for Entities Platform

An early access release of Artificial Intelligence (AI) upgrades to Diligent Entities is available. Entities AI features drive efficient and informed entity management.

With Chart assist, you can create optimal conditional formatting of your Group Structure charts with minimal effort. Chart assist can propose formatting for entities or for relationships. After Chart assist creates the formatting, you can further edit and adjust it to your needs.

Entities AI Assistant updates

Entities AI Assistant is now available in two modes which control how you interact with it. Your administrator controls which mode you use.

• Pre-canned prompts In this mode, you can select pre-defined questions to ask about a selected company.

• AMA (Ask Me Anything) In this mode, you can enter your own questions in the chat.

You can only access information you have access permissions for. If you can’t access a piece of information from Entities interface, Entities AI Assistant will not be able to give it to you.

AI Document Summary updates

You can now generate up to 10 summaries simultaneously.

For documents with more than 10 pages or 12 000 characters, AI Document Summary creates a more complex summary divided into sections to accurately represent the documents.

AI Document Summary is now available in the following areas:

• Company documents

• Attachments in Data Library

• Working Documents

• Document Store

The summaries are generated in the language your administrator has set for your Entities site. The following languages are supported:

• English (United Kingdom)

• English (United States)

• Spanish

• French

• German

The summaries are now available in the AI Document Summary window.

New wizard – Change Company Details

Selected users can now change company details using the new Change Company Details wizard.

With the new wizard, you can change the same details as with the Edit option. In addition, you can edit any user-defined fields you have access to on the Company Details page.

Changes you make using the Change Company Details wizard are recorded in the audit trail. When changing company details with the new wizard, you can save the event as pending or assign it to other users and workflows. When you edit a pending event and make changes to fields, both the previous and the new value are displayed so that you can easily verify any changes before you accept and action them.

Administrators can control user access to this wizard using the new Change Company Details user role right available under Company Security > Company Wizards.

• The advanced search and the following partnership wizards: New Partnership, Edit Partnership, and Clone Partnership now contain the following additional fields:

  • User Grouping
  • File Reference
  • Partner/Division
  • Managed By
  • Sets

• The advanced search also contains the new Extra Details field.

• You can now apply sets from List Manager and use them for partnerships data entry, searching, and filtering.

• The partnership user-defined fields can now be configured to appear in the Main Details section.

• The principal place of business address configured for a partnership is no longer visible in Company Address.

• We resolved an issue with error 500 appearing in the New Partnership wizard.

Irish e-filing changes

• The B10 appointment process now requires a wet signature from the director or secretary.

• Irish e-filing now contains the additional 'Paid - Not Submitted’ status for B1 forms.

• B1 forms in e-filing now support audit exemption claims for unlimited companies.

UK e-filing changes

• We removed the Made Up Date from the Check and confirm wizard for UK e-filing data download.

• We added the Registered Email Address (REA) field to UK data download, the Check and Confirm comparison report, and to the company confirmation statement review report.

UK forms updates

• We added a new form fill form for SR01.

• We updated form fill PDFs for the following forms:

  • RP04
  • SLP CS01
  • SQP1
  • SQP CS01
  • SR01 and continuation pages

• We resolved an issue where the CS01 confirmation statement would show transfers, including transactions. When you select the Override changes only and produce full list of shareholders option, the confirmation statement now shows shareholder information without referencing transactions.

• We resolved an issue with the SH06 form where share class rights were printed outside of the section box.

When creating new users, administrators now must select a user role.

The security (HTML) report no longer produces unnecessary additional data for the First View column.

We fixed an issue with audit trail showing that additional data has changed after changing only dates in company details.

User roles without permission to edit the Region (SUBCOUNTRYC) user-defined field in company details can no longer delete the region information from company details when saving records.

When you set the Dissolved date field to not be shown when blank, the field remains hidden if no date is entered and shows in company details if it contains a date.

When running a legal capital structure with the Structure above and below option selected where a user is part of a security group, the entities above the selected company are now correctly displayed.

For the Registration in Jurisdiction entity type, you can now edit the Country field after the entity is created.

The Contact Support window now contains an option to log in to connect.diligent.com.

We added support for Caribbean guilder (XCG) for Curacao and Sint Maarten.

Hidden user-defined fields are no longer selectable in reporting field lists for ad-hoc reports.

The Add to batch wizard is no longer available in the following tabs: Pending Events, Reminders, Working Documents, and Document Store.

Include or exclude top entities’ external owners in Group Visualization

Group Visualization now gives you more granular control over which external owners (parents) are shown in the charts.

With the new Show top external owners option, you can include or exclude external parents of the top entity in the chart. Changing this setting does not affect other external owners. For example, you can exclude the external owners of the top entity while still showing the external owners of all the other entities in the chart.

External owners are entities that do not meet the criteria of a given chart but are owners of entities included in the chart. For example, your group structure contains external owners when it’s run with the Get all other parents/owners and Include as Additional Data options.

The Show top external owners option is active by default. To hide the external parents of the top entity, in a chart’s Ownership tab, under Show external owners, deselect the Show top external owners option.

Conditional formatting now includes two new symbols:

• Ellipse in triangle
• Ellipse in down triangle

We fixed an issue with a number of special characters not displaying correctly in exported group structure charts.

Displaying all parent entities when filters are applied in Group Visualization

We improved the filtering mechanism in Group Structure Visualization to display all parents of an entity with and without filters.

Previously, when filtering was applied to a chart, only the parent entity with the largest ownership percentage would be shown. After the update, all parent entities are shown in the chart.

New Shareholders and Corporate Relationships Quick Reports

Two new Quick Reports are available:

• Shareholders Information about the shareholders of the company such as the shareholder's name, the number of shares, the percentage of class, the voting percentage, and the capital percentage they hold.

• Corporate Relationships Information about company control by means other than shares, such as votes in the board or capital contributions that are not connected to shares.

Send and receive changes in Irish e-filing

To improve process performance, the Send and Receive process in Entities now uses the CRO submissions-by-date method.

Group Structure improvements

• When creating a Group Structure, selecting a custom format rule no longer results in displaying all custom rules.

• When displaying group structure above and below, the external parent attributes in the ‘above’ part of the chart are now correctly displayed.

Exporting items from entity history no longer results in an error.

When duplicating the Individuals report, duplicate surnames are now correctly identified.

UK: The AP01 form now correctly displays the Turks and Caicos Islander nationality.

Hong-Kong: SIC code descriptions for codes 059, 064, and 065 are now aligned with the Hong Kong Company Registry descriptions.

Paper size and format options for exporting charts to PDF in Group Visualization

When exporting to PDF for viewing, Entities can automatically fit the chart on an optimal number of A4 or letter sheets. The number of selected size of pages and the chart’s scale are adjusted for optimal zoom and readability.

You can select one of the following options:

• Auto-fit: one or more A4 sheets

• Auto-fit: one or more letter sheets

Additionally, Entities now offers more paper size and format options when exporting charts into the PDF format for viewing and printing. Charts are scaled to fit the selected size.

You can select from the following options:

• A4 to A0
• Letter (ANSI A)
• Legal
• Tabloid and multiples of tabloid (ANSI B to ANSI E)

Ordering entity notes in Group Visualization group charts

You can now customise how to display the order of your entity notes. You can select from the following options:

• Arabic numerals – 1, 2, 3, …
• Uppercase Roman numerals – I, II, III, …
• Lowercase Roman numerals – i, ii, iii, …
• Uppercase Latin letters – A, B, C, …
• Lowercase Latin letters – a, b, c, …

When adding entity notes in chart text, select one of the options in the Choose entity notes character style drop-down. The selected style is applied to all entity notes in the chart. This setting is saved for future chart exports.

Displaying legend entries for sub-charts in Group Visualization exports

When exporting charts, you can now select how extensive you want the legend on the exported chart to be.

• To display only the entries that apply to the sub-chart included in the exported file, select Include legend.

• To display all the legend entries defined for the sub-chart included in the exported file, select both Include legend and Complete legend for all sub-charts.

US Beneficial Ownership Information Reporting (BOIR) improvements

• For BOI reports with forms of identifying documents for more than one individual, the message no longer fails when processed by FinCEN.

• For the States list used for BOIR, the following descriptions are no longer truncated at 30 characters:

  • Armed Forces Europe/Middle-East/Canada
  • Armed Forces Americas (except Canada)

  As a result, filings submitted with these descriptions no longer fail.

When running partnership profiles, the downloaded .docx documents are no longer resulting in the 'corrupt file' errors.

US Beneficial Ownership Information Reporting (BOIR) in Entities

You can now create BOI reports for the following actions using Diligent Entities wizards:

• Add, cease, and delete Beneficial Owners
• If applicable, add, cease, and delete Company Applicants

When submitting follow-up BOI reports, Entities will now display a last submission time for received FinCEN transcripts in addition to last submission date.

For users with the appropriate user role rights, transcripts are now visible from Working Documents and Electronic filing sections.

Known issues:

• For BOI reports with forms of identifying documents for more than one individual, the message will fail when processed by FinCEN.

• For the States list used for BOIR, the following descriptions are truncated at 30 characters:

  • Armed Forces Europe/Middle-East/Canada
  • Armed Forces Americas (except Canada)

  As a result, filings submitted with these descriptions will fail.

The issues will be resolved in Entities in a future release.

Users with the Send & Receive Electronic filing permissions can now use one of the following default options:

• Send only
• Receive only
• Send and receive

To change the default setting, go to My preferences > Options.

New update period filter options in e-filing

You can now check for updates in Electronic Filing Send & Receive for the following periods:

• Today
• Last 7 days
• Last 14 days
• This month

UK companies: When creating Confirmation Statements, you can now submit a full list of shareholders in place of changes to the shareholder list. To submit the full list, in the Confirmation Statement Wizard, deselect the Part 4 – Shareholder information changes option and select the Part 4 – Override changes only and produce a full list of shareholders option instead.

We increased the number of Other Entities that can be assigned to Security Groups.

We fixed an issue in Group Visualization with how chart relationships are displayed in PPTX files when no values are provided in the Relationships tab.

For example, you can exclude the external owners of the top entity while still showing the external owners of all the other entities in the chart.

External owners are entities that do not meet the criteria of a given chart but are owners of entities included in the chart. For example, your group structure contains external owners when it’s run with the Get all other parents/owners and Include as Additional Data options.

The Show top external owners option is active by default. To hide the external parents of the top entity, in a chart’s Ownership tab, under Show external owners, deselect the Show top external owners option.

Changes in Entities are being rolled out in phases, based on the Companies House announced schedule.

You can now record and store Individuals Identity Verification (IDV) codes. In addition, Administrators can run reports to identify individuals missing the required codes.

After the upgrade, by default, users don’t have access to the new UK Identity Verification field on the Individuals page. Administrators can selectively configure user access to related features with user roles.

Administrators with access to System Reports can run a report to check if all individuals are assigned IDV codes.

Selected users can now change company details using the new Change Company Details wizard.

With the new wizard, you can change the same details as with the Edit option. In addition, you can edit any user-defined fields you have access to on the Company Details page.

Changes you make using the Change Company Details wizard are recorded in the audit trail. When changing company details with the new wizard, you can save the event as pending or assign it to other users and workflows. When you edit a pending event and make changes to fields, both the previous and the new value are displayed so that you can easily verify any changes before you accept and action them.

Administrators can control user access to this wizard using the new Change Company Details user role right available under Company Security > Company Wizards.

UK e-filing changes

• We removed the Made Up Date from the Check and confirm wizard for UK e-filing data download.

UK forms updates

• We added a new form fill form for SR01.

• We updated form fill PDFs for the following forms:

  • RP04

• We resolved an issue where the CS01 confirmation statement would show transfers, including transactions. When you select the Override changes only and produce full list of shareholders option, the confirmation statement now shows shareholder information without referencing transactions.

• We resolved an issue with the SH06 form where share class rights were printed outside of the section box.

When creating new users, administrators now must select a user role.

The security (HTML) report no longer produces unnecessary additional data for the First View column.

We fixed an issue with audit trail showing that additional data has changed after changing only dates in company details.

User roles without permission to edit the Region (SUBCOUNTRYC) user-defined field in company details can no longer delete the region information from company details when saving records.

When you set the Dissolved date field to not be shown when blank, the field remains hidden if no date is entered and shows in company details if it contains a date.

When running a legal capital structure with the Structure above and below option selected where a user is part of a security group, the entities above the selected company are now correctly displayed.

For the Registration in Jurisdiction entity type, you can now edit the Country field after the entity is created.

Include or exclude top entities’ external owners in Group Visualization

Group Visualization now gives you more granular control over which external owners (parents) are shown in the charts.

With the new Show top external owners option, you can include or exclude external parents of the top entity in the chart. Changing this setting does not affect other external owners. For example, you can exclude the external owners of the top entity while still showing the external owners of all the other entities in the chart.

External owners are entities that do not meet the criteria of a given chart but are owners of entities included in the chart. For example, your group structure contains external owners when it’s run with the Get all other parents/owners and Include as Additional Data options.

The Show top external owners option is active by default. To hide the external parents of the top entity, in a chart’s Ownership tab, under Show external owners, deselect the Show top external owners option.

Two new symbols in Group Visualization conditional formatting

Conditional formatting now includes two new symbols:

• Ellipse in triangle
• Ellipse in down triangle

We fixed an issue with a number of special characters not displaying correctly in exported group structure charts.

Displaying all parent entities when filters are applied in Group Visualization

We improved the filtering mechanism in Group Structure Visualization to display all parents of an entity with and without filters.

Previously, when filtering was applied to a chart, only the parent entity with the largest ownership percentage would be shown. After the update, all parent entities are shown in the chart.

New Shareholders and Corporate Relationships Quick Reports

Two new Quick Reports are available:

• Shareholders Information about the shareholders of the company such as the shareholder's name, the number of shares, the percentage of class, the voting percentage, and the capital percentage they hold.

• Corporate Relationships Information about company control by means other than shares, such as votes in the board or capital contributions that are not connected to shares.

Send and receive changes in Irish e-filing

To improve process performance, the Send and Receive process in Entities now uses the CRO submissions-by-date method.

Group Structure improvements

• When creating a Group Structure, selecting a custom format rule no longer results in displaying all custom rules.

• When displaying group structure above and below, the external parent attributes in the ‘above’ part of the chart are now correctly displayed.

Exporting items from entity history no longer results in an error.

When duplicating the Individuals report, duplicate surnames are now correctly identified.

UK: The AP01 form now correctly displays the Turks and Caicos Islander nationality.

Hong-Kong: SIC code descriptions for codes 059, 064, and 065 are now aligned with the Hong Kong Company Registry descriptions.

Paper size and format options for exporting charts to PDF in Group Visualization

When exporting to PDF for viewing, Entities can automatically fit the chart on an optimal number of A4 or letter sheets. The number of selected size of pages and the chart’s scale are adjusted for optimal zoom and readability.

You can select one of the following options:

• Auto-fit: one or more A4 sheets

• Auto-fit: one or more letter sheets

Additionally, Entities now offers more paper size and format options when exporting charts into the PDF format for viewing and printing. Charts are scaled to fit the selected size.

You can select from the following options:

• A4 to A0
• Letter (ANSI A)
• Legal
• Tabloid and multiples of tabloid (ANSI B to ANSI E)

Ordering entity notes in Group Visualization group charts

You can now customise how to display the order of your entity notes. You can select from the following options:

• Arabic numerals – 1, 2, 3, …
• Uppercase Roman numerals – I, II, III, …
• Lowercase Roman numerals – i, ii, iii, …
• Uppercase Latin letters – A, B, C, …
• Lowercase Latin letters – a, b, c, …

When adding entity notes in chart text, select one of the options in the Choose entity notes character style drop-down. The selected style is applied to all entity notes in the chart. This setting is saved for future chart exports.

Displaying legend entries for sub-charts in Group Visualization exports

When exporting charts, you can now select how extensive you want the legend on the exported chart to be.

• To display only the entries that apply to the sub-chart included in the exported file, select Include legend.

• To display all the legend entries defined for the sub-chart included in the exported file, select both Include legend and Complete legend for all sub-charts.

US Beneficial Ownership Information Reporting (BOIR) improvements

• For BOI reports with forms of identifying documents for more than one individual, the message no longer fails when processed by FinCEN.

• For the States list used for BOIR, the following descriptions are no longer truncated at 30 characters:

  • Armed Forces Europe/Middle-East/Canada
  • Armed Forces Americas (except Canada)

  As a result, filings submitted with these descriptions no longer fail.

When running partnership profiles, the downloaded .docx documents are no longer resulting in the 'corrupt file' errors.

US Beneficial Ownership Information Reporting (BOIR) in Entities

You can now create BOI reports for the following actions using Diligent Entities wizards:

• Add, cease, and delete Beneficial Owners
• If applicable, add, cease, and delete Company Applicants

When submitting follow-up BOI reports, Entities will now display a last submission time for received FinCEN transcripts in addition to last submission date.

For users with the appropriate user role rights, transcripts are now visible from Working Documents and Electronic filing sections.

Known issues:

• For BOI reports with forms of identifying documents for more than one individual, the message will fail when processed by FinCEN.

• For the States list used for BOIR, the following descriptions are truncated at 30 characters:

  • Armed Forces Europe/Middle-East/Canada
  • Armed Forces Americas (except Canada)

  As a result, filings submitted with these descriptions will fail.

The issues will be resolved in Entities in a future release.

Users with the Send & Receive Electronic filing permissions can now use one of the following default options:

New update period filter options in e-filing

You can now check for updates in Electronic Filing Send & Receive for the following periods:

• Today
• Last 7 days
• Last 14 days
• This month

UK companies: When creating Confirmation Statements, you can now submit a full list of shareholders in place of changes to the shareholder list. To submit the full list, in the Confirmation Statement Wizard, deselect the Part 4 – Shareholder information changes option and select the Part 4 – Override changes only and produce a full list of shareholders option instead.

We increased the number of Other Entities that can be assigned to Security Groups.

We fixed an issue in Group Visualization with how chart relationships are displayed in PPTX files when no values are provided in the Relationships tab.
