Ireland Beneficial Ownership: Introduction

In Diligent Entités, you can keep a Beneficial Ownership register for Ireland incorporated companies and other relevant legal entities.

In Diligent Entités, you can populate and generate the Beneficial Ownership register as follows:

  • Ensure that your system is ready for beneficial ownership.

  • Verify the system for potential beneficial owners.

  • Create the beneficial owners records manually or automatically.

  • Update the records as needed.

  • Upload and keep a copy of all communications and notices in Diligent Entités Data Library.

  • If applicable, change the company type to Listed Public Limited Company (PLC) so that Diligent Entités does not generate a Beneficial Ownership register for the entity.

  • Run the Beneficial Owner register.

Note

Most Validations for companies in Ireland are configured by default. Certain events, errors and company details may still need to be enabled by your system administrator for the relevant validation type. If needed, go to System Tools > List Manager > Validations to configure events and company details.

Requirements

First, you must identify whether your company has a Beneficial Owner based on the current statutory requirements. If a Beneficial Owner can be identified in accordance with the requirements and regulations, you must enter correct and up-to-date information in the system.

Note

Individuals must not be added to the register unless they have confirmed their particulars in writing.

If a beneficial owner cannot be identified for the company, then the details of each senior managing official, SMO, must be shown in the register for the relevant entity.

Data Library

Companies are required to maintain their Beneficial Ownership register. If you believe that a change has occurred in the particulars registered for a beneficial owner or SMO, you must give notice to that individual to confirm such changes in writing. Copies of all communications to potential or known beneficial owners should be retained in the Data Library repository in Diligent Entités, where you can also produce Notices and upload documents.

Note

When you change the company's Group Structure, the beneficial ownership records do not update automatically. You must manually update these records.

Identify Company Type as Listed Public Limited Company (PLC)

When you are setting up an Ireland Listed Company in Diligent Entités that is not required to keep a Beneficial Ownership register:

  1. Search for and open the relevant company record.

  2. Select Edit on the Company Details page.

  3. Navigate to Company Type on Edit Company Details page.

  4. Select Public Limited Company (PLC) Listed for Company Type.

  5. Select Save.

When a company type is listed as PLC, Diligent Entités will ignore it when creating a Beneficial Ownership register. The following message displays instead in the report: "This company is exempt from the requirement to maintain a Register of Beneficial Owners."
