Incorporation Details
The Details option is available in the Incorporation Banner and provides access to incorporation details such as names and addresses.
To change or add any details on this page, select Edit in the top right.
Statutory
In the Statutory section, you can enter further details or change existing statutory details such as name, country, company type, and status.
Progress
In the Progress section, use the wand to open the Incorporation Progress wizard.
In the wizard you can select a progress state for the incorporation as well as add a progress date and progress details.
Note
Administrators can add items to the progress list in System Tools > List Manager > Incorporation Progress. Refer to List Manager for more information.
The progress you enter in the wizard appears in the Progress section. You can then either add a new progress, when one is required, or change the existing one if any mistakes were made during the initial entry.
Statutory Post Incorporation
For UK companies, this section is completed automatically by the system once incorporation to Companies House has taken place and the certificate of incorporation has been received.
Post Incorporation Events
You can use this section if you incorporate a company on behalf of a client, for example, when you initially incorporate the company with a shelf name and your registered office, along with your own directors and subscribers. After incorporation, those details can then be replaced by the details entered here.
Witness
Complete the Witness Date field with the date that should appear on the memorandum of association.
Note
You are only required to do this if you generate memorandum and articles of association in the application.
If you upload the memorandum and the articles of association as PDF documents, you can leave this field blank. The remaining fields can be populated if required, but are not mandatory.
Memorandum
If the incorporation uses the model articles, the quick references for the standard templates are shown here. If the incorporation uses amended or bespoke articles, a copy and paste version is generated for you to use. You can also choose to change these fields so your own articles are generated or manually import them as PDFs.
Articles
These fields also display the quick references for the standard templates. If the incorporation uses amended or bespoke articles, a copy and paste version is generated for you to use. You can also choose to change these fields so your own articles are generated or manually import them as PDFs.
Electronic Incorporation
This section is automatically completed by the system if the incorporation is rejected: it contains a rejection reference to ensure that you are only charged once.
Agent
Enter any agent details that you may have for this incorporation.
Industrial Classifications
Enter the classification (or SIC) codes for the incorporation.
Management
Enter the name of the user who manages the incorporation record. User groupings and divisions or partners can be selected for the incorporation if previously configured by a system administrator under System Tools > List Manager. The Managed By field is used to indicate the user responsible for the maintenance of the company record in the application.
Sets
If you have sets in your system, you can select the set this new incorporation is to be in once it has been converted to a company.
General Fields
This section holds jurisdiction-specific fields that are used to record additional information about the incorporation such as whether this company has to be incorporated on the same day or whether HMRC corporation tax information is to be filed in case of a UK company.
By selecting or completing certain options, the details are pulled through onto the relevant form that you file to the regulatory body, so it is important to make sure these are correct.
