Create an Incorporation

Create an incorporation in Diligent Entities for a company that you are about to incorporate.

Before you start

Make sure your organisation is licenced for electronic incorporation and electronic filing and that users have the required user role rights. Refer to Licence Information and User Role Rights for more information and refer to the e-filing section for your jurisdiction.

  1. Go to All Searches > Advanced Searches > Incorporation Search.

    The Incorporation Search page displays.

  2. On the Incorporation Search page, select Wizards > New Incorporation.

    The New Incorporation wizard opens.

  3. (Optional) On the Incorporation Defaults page of the wizard, select an incorporation default and select Next.

    Note

    If you have less than 10 incorporations left of the number of incorporations included in the organisation's licence, the system displays a warning to let you know about it.

  4. On the Incorporation Details page, enter a company name and a quick reference, then select Next.

    Ensure that the company name is spelt and punctuated correctly as this is the name to appear on the certificate of incorporation once the company has been incorporated.

    The quick reference is the incorporation's unique identifier in the system. Use the Show me now option to have a quick reference generated or enter one manually.

  5. On the Statutory Details page, select the country and region the new incorporation is to be formed as well as the company type and status, then select Next.

  6. On the Duplicates page, check if records for this incorporation already exist and select Next.

    The system checks for duplicates based on incorporation number and name. If it finds entity records with the same or similar name, it displays the records as potential duplicates.

  7. On the Addresses page, enter a trading at address, a registered office address, and a presenter address for the incorporation and select Next.

    You can add or create a shared address or add a one-off address for the company. Use the wand that comes before the relevant address type to add an address. Refer to Company Addresses for more information.

  8. On the Incorporation Progress page, you can enter information about the progress of the incorporation such as the incorporation fee, then select Next.

    Note

    Administrators can add relevant process stages in System Tools > List Manager > Incorporations Progress.

  9. On the Management Details page, enter details about the person responsible for this record and select Next.

  10. On the Extra Details page, select any relevant options.

    The options in the Extra Details section depend on the country you selected for the incorporation as well as what user-defined fields are set up. For UK incorporations, for example, you can select same day incorporation, all members to be designated members, whether you want to e-file HMRC corporation tax information and so on.

  11. On the Security page, select the security groups you want to add the incorporation to.

    Security groups control access to the record. System administrators can add security groups to this page as required. Refer to Security Groups to learn more.

  12. Select Finish to save the record.

Once the company has been incorporated, that is, it has a company number, and the company needs to be managed in Diligent Entities, you can convert the incorporation record into a company by opening the record and choosing Wizards > Convert to Company.​
