Troubleshooting Group Structures

Learn about what to do when the group structure you generated does not give you the results you expected.

The immediate percentage is wrong

In such a case, go to the Ownership section and make sure that the correct number of shares have been allotted, that the correct number of shares have been issued, and that the share class has the correct votes per share.

If some of the shares still need to be allotted, go to the Shareholders tab in Ownership and use the Allot Shares Wizard to allocate them. Refer to Allot Shares to a Shareholder to learn more.

If you've issued too many shares, go to the Share Classes tab in Ownership and use the Adjust Issued Shares Wizard on the relevant class to lower the amount. Refer to Share Classes to learn more.

Note

The system can be set up to automatically increase or decrease the issued shares every time shares are allotted or bought back by enabling the Automatically increase/decrease Total Issued Shares on allotment/disposal option in System Tools > System Options > Miscellaneous. Refer to System Options to learn more.

If the class displays incorrect amounts of votes or shares, go to the Share Classes tab in Ownership and use the Voting and Weighting option on the relevant class to correct the amounts. Refer to Share Classes to learn more.

If the ownership was entered as corporate relationships, find the relevant relationship, open it and amend the percentage. Refer to Create Corporate Relationships to learn more.

The ultimate percentage is wrong

Ultimate percentages are calculated based upon immediate percentages, so ensure those are correct and if needed, correct them. If immediate percentages are correct, make sure you don't have a circular ownership relationship in your structure which can also affect your ultimate percentage. If you do have one, make sure the Calculate circular and self-ownership percentages option is selected on the By Details tab and run the structure again. The Interest column does not display the percentage of shares

Make sure that there isn't a corporate relationship for the same share allotment. Where the same information is entered both as a shareholding and as a corporate relationship, the latter takes precedence. Delete the corporate relationship if you want the shareholding information to display on your structure. Refer to Run a group structure to learn more.

Some ultimate percentages are over 100%

Find each subsidiary in that ownership chain and check their Share Classes page. If the total voting weighting or capital weighting is above 100%, that typically means that the group structure percentages are also wrong. You can easily fix these by turning on automatic calculation of share voting and capital weightings.

In order for the system to automatically calculate the voting and capital weightings for future companies, enable the following two options in System Options:

  • Automatically calculate share class voting weighting (for new companies)

  • Automatically calculate share class capital weighting (for new companies)

In order for the system to automatically calculate the capital and voting weightings for share classes in existing companies, enable the following two options in Company Options:

  • Automatically calculate share class voting weightings

  • Automatically calculate share class capital weightings

Note

The system only calculates the capital weightings for new and existing companies in cases where the share classes have the same currency. If the share classes have mixed currencies, the weightings have to be adjusted in the system. If the share classes are of mixed currencies, the second option to Automatically Calculate the Capital Weightings must be unselected and the weighting must be adjusted manually using the Voting and Weighting option against the share class. The weighting for both the share class voting and share class capital should total 100% across all the voting share classes.

If the ownership was added as a corporate relationship, find the corporate relationship, open it and edit the percentage. Refer to Create Corporate Relationships to learn more.

The total immediate percentage ownership in a given company is over 100%

Turn on automatic calculation of share class voting and capital weighting for the subsidiary as explained above in the Some ultimate percentages are over 100% section.

If that doesn't fix the issue, it usually means that the ownership was added both as a shareholding and a corporate relationship. If that's how your information should be stored and you cannot opt for just one of the ways, ensure that your corporate relationship percentages are correct. Then turn off the automatic calculation of share class voting and capital weighting. This allows you to enter the percentages manually so that the total ownership is correct. To do that, go to the Share Classes page and use the Voting and Weighting option against each class to enter the percentages manually. Refer to Share Classes to learn more.

A shareholder or a subsidiary does not display in the group structure

The default group structure, that is, the legal structure is based on votes, so if there is no voting entitlement, the owner or subsidiary doesn't appear in the structure. Use the Show by capital ownership option on the By Details tab to include capital contributions. Refer to Group Structure Options to learn more.

None of the corporate relationships display in the group structure

Check the type of structure selected in the Structure field. If Legal Structure is selected, make sure the Ignore corporate relationships option is not selected on the By Details tab. To only include corporate relationship in the structure, change the structure type to the one the relationships have been added under. Refer to Run a group structure to learn more.

The relationship may not display because it is marked as historical. Any relationship with a date in the Applies Until field is marked as historical. Go to the Relationships tab in Ownership, find the corporate relationship, open it, and remove the date.
