Run a group structure

Use the Run Structure option to generate a group structure in Diligent Entities.

With the Run Structure option you can generate a group structure in a way that you must wait until it's ready. If you'd prefer to continue working in the application while the group structure is being generated, use the Save to Store option. Refer to Generate a Group Structure in the Background to learn more.

Before you start

The group structure is generated based on ownership information. You can record ownership information in Diligent Entities using the Share Classes and Shareholders tabs or the Relationships tab under Ownership in the company record. Refer to Ownership and the Ownership section on the Help Centre.

  1. Open the company record and select Group in the company banner, then select the Structure tab.

  2. On the Group Structure (Legal Structure) page, select the type of structure you want to generate in Structure.

    Description

    Legal Structure

    Legal Structure is selected by default in Structure. This option generates a group structure based on the ownership information and also includes any corporate relationships in the structure.

    If there is a shareholding and a legal voting corporate relationship between the same parties, the corporate relationship takes precedence over the shareholding relationship.

    Note

    The system only calculates capital weightings automatically for new and existing entities if the shares have the same currency. If shares have multiple currencies, the capital weightings must be adjusted manually and the option to automatically calculate the capital weightings must be selected. Refer to System Options to learn more.

    Legal Voting Structure

    When this option is selected, the group structure is run on legal voting corporate relationships.

    Legal Capital Structure

    When this option is selected, the group structure is run on legal capital corporate relationships.

    Alternate Control

    When this option is selected, the group structure is run on alternate control corporate relationships.

    Governance Structure

    When you create a committee using the Add Committee wizard, a governance structure type corporate relationship record is created based on the committee. You can also create such corporate relationships manually. Use this option to generate a group structure on committees and sub-committees, that is, on governance structure type corporate relationships.

    Profit Interests

    With this option, you can create a user-defined group structure using profit interest type corporate relationships.

    Voting Interests

    Use this option to create a user-defined structure using voting interest type corporate relationships.

    Partnership Structure

    With this option, you can run a user-defined structure using partnership structure type corporate relationships.

    Administrators can set up user-defined group structures as required in System Tools > List Manager > Corporate Structures. Any structure they add displays in the list. Refer to List Manager for more information.

  3. In the Show field, select the whether you want to generate the structure above, below, or above and below the company you're in.

    The Structure below shows​ the company's direct and indirect subsidiaries or child entities. If you select to include other parents in the group structure, the first level immediate parents ​of the company also display. Refer to Group Structure Options to learn more.

    The Structure above displays the company's parents and the parents of the parents up until the ultimate parent company.

    The Structure above and below shows all parents and subsidiaries of the company you're in. In the above and below structure the filter options for ​showing other parents only apply to parents ​below the selected company as all parents above the selected company are displayed by default.

    Note

    The reports, the export options, the View as Chart and Send To options are not supported for Structure above and below group structures but you can visualise any of these structures in Group Structure Visualisation.

  4. (Optional) Specify the date you want to generate the group structure as at and specify minimum and maximum ownership percentages.

    You can view the structure as at a particular date or leave the As at field blank to run the structure for the current date. You can also specify to only show companies held by a minimum or maximum percentage.

  5. (Optional) Customise the group structure as required.

    Select the More tab to next to Basic Search to reveal additional tabs. There are various options on the By Details, By Entity, and Additional Data tabs that you can use to filter the group structure. Refer to Group Structure Options to learn more. You can also change what information displays about the group structure, that is, add or remove columns to the table on the Display tab.

  6. Select Search search, then select Run Structure.

  7. (Optional) Select the Save Search tab to save the filter settings you used for the group structure.

    If you save the filter settings, you can easily run the same group structure in the future for the same company or a different company. You also have the option to save it as a shared search in which case all users of the system can run it.

What You See in the Group Structure

When you run an above structure, the company you're in appears at the bottom of the tree and its immediate owners along with their parent companies and so forth are listed at the top. In this view, all parents are ordered by percentage of ownership. The parents with the lower percentages of ownership appear towards the bottom of the structure, right above the company you're in, while the ones with higher percentages appear towards the top.

When you run a below structure, the company you're in is shown at the top of the hierarchy with its subsidiaries and their subsidiaries and so on displaying below it. In this view, the subsidiaries are listed in alphabetical order.

In both scenarios, immediate percentage, ultimate percentage, and interest are shown by default. Immediate percentage shows the percentage of direct ownership in relation to the entity situated on the next level. Ultimate percentage always relates to the entity for which the group structure was generated and shows the percentage of indirect ownership.

Note

The ultimate percentage can be different, that is, lower or higher than the immediate percentage.

The interest shows further ownership details such as the amount and the type of shares directly held by the parent entity within the entity on the next immediate level, the corporate relationship type between the parent and its direct subsidiary, or its description.

The percentages based on shares are automatically calculated based on the number of shares, the nominal value of those shares and so on. Refer to Share Classes and Shareholders for more information.
