Create an A1 Form to Incorporate a Company
With the A1 form, you can form and register a company with the Companies Registration Office (CRO) in Ireland.
Before you start
To complete the following steps, ensure that your system is both licenced and configured for electronic filing for Ireland and electronic incorporation. Make sure you have completed all the mandatory steps outlined in Set up Electronic Filing for Ireland.
To complete electronic incorporation, the following data libraries are required:
- Incorporation (Ireland) 2020
- Incorporation Attachments (IE)
You can create these data libraries before you start the incorporation or you can create them from the Incorporate Electronically wizard.
-
Create an incorporation.
On the Extra Details page of the wizard, select the Ireland Form Submission, request signature page for signing? and Ireland Form Submission, override reg.agent & sign as dir/sec? options as required. For more information, refer to Configure Companies for Paper or Digital Signature.
Refer to Create an Incorporation to learn more about how to create an incorporation.
-
Add more details to the incorporation record.
Attach a constitution, appoint individuals to appropriate roles, and disclose shares and subscriber shareholder information. Additional details, such as indicating whether the entity is an owners management company (OMC), must be added to the Incorporation (Ireland) 2020 data library. Supporting documents must be uploaded to the Incorporation Attachments (IE) data library. Refer to Create an Incorporation (Ireland) 2020 Data Library and Create an Incorporation Attachments (IE) Data Library for more information.
Note
If a company doesn't have a registered office, but uses a registered office agent, the registered office agent must have their details added to the incorporation record by appointing them to the company. Since the address of the registered office agent is the official registered office address for the company, the address must also be added to the incorporation record. A contact must also be added to the registered office address. For more information refer to Add Contacts to Addresses.
-
In the incorporation record you just created, select Wizards > Incorporate Electronically.
The Incorporate Electronically wizard displays.
-
In the Date of Effect field, enter the date at which this incorporation process starts.
-
(Optional) Select Open for Confirm/Update Incorporation Details and for Confirm A1 Attachments to review the data already captured in the related Incorporation Ireland (2020) and Incorporation Attachments (IE) data library on a separate page or to create a new data library record. Select Next.
Review, amend, or add the necessary details, then select Finish to save the record. Alternatively, you can open the relevant record in the data library and make changes there. Refer to Create an Incorporation (Ireland) 2020 Data Library and Create an Incorporation Attachments (IE) Data Library for more information.
Note
No Signatory page displays in this wizard as the A1 form must be signed by all secretaries and directors.
-
On the Documents page, ensure that the checkbox for the A1 form is selected and select Next.
-
On the Finish page, select Electronic Incorporation and select Other Options under the table. From the options that display, select Efile documents to electronically file the A1 form.
You can e-file the form later by going to Documents in the incorporation record, selecting the document, and choosing Wizards > Efile documents.
The Efile Document wizard displays and the document is processed for e-filing. If there are any gaps in required information, they are highlighted and the e-filing process displays a Failed status. If there are no areas to address, the document is e-filed and a Completed status displays. Select Finish to close this wizard.
If the document was successfully e-filed, its status is Verified and Queued.
-
Select Finish to complete the wizard.
- After the Efile Document wizard is completed, go to Document Store > Electronic Filing and select the Send & Receive option to send the document you just e-filed to the CRO.
Note
Complete this step if the electronic filing profile you use is not set up for automatic send and receive. For more information refer to Enable the Electronic Filing Profile for Ireland.
What's next?
Request a Signature Page and upload the signed copies.
Once the incorporation is complete, that is, you received a company number from the CRO, you can convert the incorporation to a company to manage it in Diligent Entities. To convert the incorporation, open the record and select Wizards > Convert to Company.
